Webhosting Terms and Conditions

These Webhosting Terms and Conditions (“Agreement”) govern the provision of webhosting services by Mixed Media Ventures, LLC (“MMV”, “we”, “our”, or “us”) to clients (“Customer”, “you”, or “your”), including direct clients, resellers, and clients of resellers. By using our webhosting services, you agree to be bound by the terms herein.

1. Scope and Application

This Agreement applies to:

  • Direct business clients of MMV;

  • Resellers of MMV’s webhosting services;

  • End clients of resellers, with resellers assuming all contractual and financial responsibility.

MMV reserves the right to suspend or remove any hosted website for violation of these Terms.

2. Services Provided

MMV offers two webhosting service tiers:

A. Basic Webhosting

  • Clients are responsible for all WordPress maintenance, including updates and security.

B. Enhanced Webhosting

  • Includes:

    • WordPress Hardening & Web Application Firewall

    • Hidden Login URL

    • Full Daily WordPress and Database Backups

    • Historical Backups for Up to One Month

    • Daily Malware and Performance Scanning

    • 24x7x365 Uptime Monitoring

    • Web Traffic Analytics (with keywords from client)

    • Weekly Plugin & WordPress Updates

    • Monthly Service Report

No explicit uptime guarantee is provided.

3. Billing and Payment

  • Standard billing is monthly; annual plans are also available.

  • Automatic payment is required; no grace period for late payments.

  • Resellers are billed wholesale and are responsible for all charges incurred, regardless of collection from their clients.

4. Acceptable Use Policy (AUP)

Clients shall not use MMV’s services for:

  • Spamming or unsolicited email campaigns;

  • Hosting or distributing malicious software;

  • Adult content or pornography;

  • Cryptocurrency mining;

  • DDoS attacks or other disruptive activities;

  • Any activity prohibited by law.

MMV reserves the right to suspend or terminate services for AUP violations.

5. Data Privacy and Security

  • MMV may store personal data (e.g., form submissions, quizzes, surveys) on behalf of clients.

  • Resellers must ensure their clients comply with equivalent data privacy obligations.

  • MMV will provide breach notifications in accordance with applicable U.S. privacy laws.

6. Suspension and Termination

  • Non-payment exceeding 30 days may result in suspension or removal of hosted services.

  • Immediate suspension or removal may occur for policy violations.

  • Resellers are responsible for notifying their clients of any suspension or termination.

7. Liability and Indemnification

  • MMV disclaims liability for damages caused by end clients or resellers.

  • Resellers agree to indemnify and hold MMV harmless for any claim arising from their or their clients’ use of services.

8. Intellectual Property and Branding

  • Resellers may white-label services.

  • MMV’s name, trademarks, or proprietary systems may only be used with prior written consent.

9. Dispute Resolution and Governing Law

  • All disputes shall be resolved through binding arbitration in Monmouth County, New Jersey.

  • This Agreement shall be governed by the laws of the State of New Jersey.

10. Amendments and Modifications

MMV reserves the right to update or modify these Terms at any time. Notice will be provided via our website. Continued use of services constitutes acceptance of any revised terms.
